1. Introduction
Welcome to Infinity Intelligent LLC ("Infinity," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of all services provided by Infinity, including but not limited to our websites, applications, APIs, beta features, and related online services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
Certain features of the Service may be offered on a beta, preview, or testing basis. Such features may be modified, limited, suspended, or discontinued at any time, and availability, supported models, usage limits, and functionality may change over time.

2. Eligibility and Accounts
• You must be at least 13 years old (or 16 where required by local law) to use the Service.
• You agree to provide accurate registration information.
• We may suspend or terminate your account if you violate these Terms.
• Communications: By creating an account, you agree that Infinity may send you service-related communications as part of your use of the Service. Marketing communications will only be sent in accordance with our Privacy Policy, and you may unsubscribe at any time.

3. Service Usage, Payments
• Paid Service: The Service is available on a paid basis. New users may receive complimentary usage allowances, trial access, or credits upon registration, as determined by Infinity in its sole discretion.
• Credit and Usage Rules: Usage may vary based on the feature, model, subscription plan, request type, or generation mode selected. Please refer to the relevant interface for current usage details, limits, or pricing.
• Beta Features: Certain features, including AI Chat Editor and related model access, may be offered as beta features. Beta features may have separate limits, eligibility rules, supported models, and availability conditions, which may change at any time.
• Exceeding Limits: If you exceed your plan's credit or usage limit, access to certain features may be paused or restricted. You may upgrade your plan or purchase additional credit packs, where available, to continue using the Service.
• Payment Processing: Payments made on our website are securely processed via Stripe. Purchases made through the Apple App Store or Google Play are processed by the respective app store and billed to your App Store or Google Play account (see Section 4.10). Your billing and payment data are handled in accordance with our Privacy Policy and the applicable processor's data protection standards.

4. Subscription Billing, Allocation, and Upgrade Rules

4.1 Billing Cycles
• Monthly subscriptions
Billed per month and automatically renews each month.
• Annual subscriptions
Billed upfront for a full year and automatically renews annually at the end of each subscription period, unless canceled.

4.2 Credits or Usage Allowances
• Monthly subscriptions
Credits or usage allowances are granted at the beginning of each monthly billing cycle.
• Annual subscriptions
Credits or usage allowances are granted monthly throughout the subscription period, rather than all at once.
Unused credits roll over for up to 6 months while your subscription is active.

4.3 Annual Plan Fee Allocation
The total annual subscription fee is allocated across 12 monthly billing cycles to determine the value of each cycle.
Due to currency precision limits, rounding adjustments may be applied to individual cycles to ensure the sum equals the total amount paid.

4.4 Definition of Used Billing Cycles
All billing cycles that have started, regardless of actual usage, are considered fully used.

4.5 Upgrading
• Annual → Annual
- Already started billing cycles are not credited.
- Remaining unused billing cycles are credited toward the new plan.
- User pays the difference between the new plan price and remaining value.
• Monthly → Monthly or Monthly → Annual
- Current billing cycle is considered fully used and not credited.
- New plan takes effect immediately, and billing follows the new plan price.
• Continuous upgrades
Multiple upgrades within the same subscription period are recalculated based on remaining unused billing cycles at the time of each upgrade.
• Downgrades
- Monthly plan downgrades take effect at the start of the next billing cycle. Credits for the new plan will be granted from the next cycle.
- Annual plan downgrades take effect at the start of the next subscription period. Credits during the current period continue to be granted according to the original plan.

4.6 Cancelling
Whether you have a monthly or annual subscription, your subscription will remain active until the end of the current billing period and will not renew automatically.
For annual subscription, any remaining credits will continue to be granted monthly until the subscription period ends.
After cancellation, your credits remain valid until the end of your current billing cycle.
If you resubscribe within 7 days (the grace period), your remaining credits will carry over to the new subscription cycle.
If you do not resubscribe after the grace period, all credits obtained through the subscription will be lost.

4.7 Packs
• Packs are one-time purchases that are permanently valid.
• Unused pack credits do not expire.
• Pack credits are consumed after subscription credits.

4.8 Fees and System Records
All calculations for allocation, credits, upgrades, downgrades, and differences are based on system records.

4.9 Legal
These rules apply to all subscription billing, credits, upgrades, downgrades, and cancellations, except where mandatory law requires otherwise.

4.10 In-App Purchases via Apple App Store and Google Play
This Section applies when you purchase a subscription or credit pack through the Apple App Store or Google Play (each, an "App Store"). Where it conflicts with other parts of Section 3 or 4, this Section controls for those purchases.
• Billing and Auto-Renewal. Subscriptions purchased through an App Store are billed to your App Store account and automatically renew at the then-current price for the same period (monthly or annual) unless you turn off auto-renewal at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
• Free Trials and Introductory Offers. If your subscription includes a free trial or introductory offer, the trial converts into a paid, auto-renewing subscription at the standard price unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
• Managing and Cancelling. You can manage or cancel your subscription, or turn off auto-renewal, at any time in your App Store account settings. Deleting the app does not cancel your subscription. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Price Changes. If we change the price of a subscription, the App Store will notify you and, where required, ask for your consent before the change takes effect, in accordance with the App Store's rules.
• Refunds. Refunds for purchases made through an App Store are handled by that App Store in accordance with its own policies, not by Infinity. Requests should be directed to Apple or Google, as applicable. The refund terms in Section 5 apply only to purchases made directly through our website.
• Restoring Purchases. You may restore eligible previous purchases through the "Restore" function in the app, subject to the App Store's rules and the account used for the original purchase.
• App Store Terms. Your use of an App Store, and all billing, auto-renewal, and refund handling for App Store purchases, are additionally governed by that App Store's own terms of service.

5. Refund Policy
We offer conditional refunds in accordance with applicable consumer protection laws, including EU consumer protection regulations where required. You may request a refund within 14 days of purchase if:
• You are a first-time subscriber; and
• You have used less than 20% of the credits, usage allowance, or equivalent included in your subscription plan or purchased packs.
Refunds are not available once credits or included usage have been substantially used or after the 14-day window, except where otherwise required by law. To request a refund, please contact [email protected].
For purchases made through the Apple App Store or Google Play, refunds are handled by the respective app store under its own policies, as described in Section 4.10.

6. Inputs and Outputs
• Inputs: You retain ownership of the content, materials, prompts, text, images, instructions, and other information you upload, submit, or transmit through the Service ("Input"). By submitting Input, you grant Infinity a perpetual, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, process, and transmit your Input as necessary to operate, maintain, improve, and provide the Service, including safety, abuse prevention, quality assurance, and, where permitted by applicable law and our Privacy Policy, model improvement or training.
• Outputs: Subject to these Terms, you own the rights, if any, that you have in the content generated by the Service ("Output").
• Third-Party Model Providers: Certain Inputs and Outputs may be processed by third-party service providers or model providers that help us operate the Service. Available models, providers, and processing routes may vary depending on the feature, request type, plan, availability, or system conditions.
• Limitations on Outputs:
- Infinity does not warrant that Outputs are free from third-party claims.
- Outputs must not be used in violation of applicable law.
- Outputs may not be resold as stand-alone content (such as stock images, templates, or similar assets) without added creative value, unless otherwise expressly permitted by Infinity in writing.
• User Responsibility: You are solely responsible for your Inputs and Outputs, including ensuring that you have all necessary rights, licenses, consents, and permissions to use and submit your Inputs and to use any Outputs.

7. Acceptable Use Policy
You agree not to use the Service to:
• Violate any applicable law or regulation.
• Infringe the intellectual property, privacy, publicity, or other rights of others.
• Generate, upload, or distribute content that is:
- Illegal, defamatory, harassing, abusive, or discriminatory;
- Pornographic, sexually explicit, or exploitative of minors;
- Promoting violence, terrorism, self-harm, or other harmful activities.
• Create, distribute, or facilitate misleading, deceptive, fraudulent, or harmful content.
• Attempt to interfere with, probe, reverse engineer, scrape, overload, or disrupt the Service or its underlying systems.
• Circumvent usage restrictions, subscription limits, eligibility rules, model access controls, or safety measures.

8. Termination
We may suspend, restrict, or terminate your account or access to any part of the Service at any time for violation of these Terms, suspected abuse, risk-related reasons, legal compliance, payment failure, or other legitimate business or safety reasons.
You may request account deletion at any time.
Infinity may, where necessary, disclose your data or related information to law enforcement, regulatory authorities, or other authorized parties, in compliance with applicable laws.

9. Disclaimer of Human Oversight
Outputs generated by the Service are produced by artificial intelligence systems without human oversight. Infinity makes no representations or warranties regarding the accuracy, reliability, legality, non-infringement, or fitness for a particular purpose of any Output. You acknowledge and agree that you must independently evaluate and verify any Output before relying on it for commercial, professional, or legal purposes.

10. Service Availability
The Service may be subject to interruptions, limitations, delays, model unavailability, feature changes, usage caps, and other issues inherent in the use of the internet, artificial intelligence systems, third-party providers, and electronic communications. Infinity does not guarantee that the Service, any specific feature, or any specific model will be uninterrupted, error-free, continuously available, or available at all times. Infinity will not be liable for any damages arising from such interruptions, limitations, delays, or changes.

11. Indemnification
You agree to indemnify, defend, and hold harmless Infinity Intelligent LLC and its affiliates, officers, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of the Service or any Output;
• Your Inputs, Outputs, or other content submitted through the Service;
• Your violation of these Terms;
• Your infringement of any third-party rights, including intellectual property, privacy, publicity, or contractual rights.

12. Disclaimer and Limitation of Liability
• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
• To the maximum extent permitted by law, Infinity disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service.
• Infinity's total liability arising out of or relating to these Terms or the Service is limited to the greater of USD $100 or the fees paid by you to Infinity in the preceding 12 months.
• To the maximum extent permitted by law, Infinity will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, use, data, or other intangible losses.

13. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws principles. Any disputes that are not subject to arbitration, or where arbitration is unenforceable, will be resolved exclusively in the courts of Sheridan County, Wyoming, unless otherwise required by law.

14. Dispute Resolution, Arbitration, and Class Action Waiver
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in English, and the seat of arbitration shall be Wyoming, USA, unless otherwise required by law.

No Class Actions: You and Infinity agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Exceptions: This arbitration agreement does not prevent either party from:
(a) bringing an individual claim in small claims court if the claim is within that court's jurisdiction; or
(b) seeking injunctive or other equitable relief in a court of competent jurisdiction for intellectual property infringement or misuse.

Governing Rules and Enforcement: The Federal Arbitration Act (FAA) and federal arbitration law apply to this agreement. Judgment on the arbitration award may be entered in any court having jurisdiction.

15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other reasonable means. The updated Terms will become effective on the date indicated at the top of this page unless otherwise stated. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the revised Terms.
